Agrium, UAP Deal Final

It’s a done deal: Agrium Inc. has officially acquired UAP Holding Corp.

As part of the agreement, Utah Acquisition Co., an indirect wholly-owned subsidiary of Agrium, has been merged with and into United Agri Products (UAP). UAP continues as the surviving corporation and an indirect wholly-owned subsidiary of Agrium. UAP markets some 200 of its own manufactured products under brands that include Loveland and Dyna-Gro. It also provides crop and inventory management, biotechnology advising, and custom blending services.

The merger of UAP with Utah Acquisition follows the successful completion of the tender offer by Agrium U.S. Inc., an indirect wholly-owned subsidiary of Agrium, for all of the issued and outstanding shares of common stock of UAP at a price of $39 per share in cash.
