Agrium Refiling Purchase Proposal Paperwork

Agrium Inc. says it will refile the form for its proposed acquisition of CF Industries Holdings, Inc. to provide a government agency more review time.

The move will allows the Federal Trade Commission (FTC) more time to review the submitted Agrium’s submission, according to an Agrium press release. Agrium submitted a notification and report form (HSR form) of its intentions under the Hart-Scott-Rodino Antitrust Improvements (HSR) Act on March 24 and refiled it on April 27.

Since the original filing of its HSR Form, Agrium and the FTC staff have been engaged in informal discussions during which Agrium provided additional information about its business, the press release states. Agrium believes FTC has continued to narrow the focus of its investigation of the proposed acquisition of CF Industries.

The current withdrawal and future re-filing of Agrium’s HSR form will provide the FTC with more time to review the information submitted by Agrium, without requiring a Request for Additional Information or "second request,” the company reports.

“Agrium remains committed to working cooperatively with FTC as it conducts its review of the proposed acquisition and Agrium remains confident the HSR waiting period will ultimately expire without any material effect to the transaction,” states the Agrium press release.
